User Access License Terms
Effective Date: December 2024
THIS SUBSCRIBER ACCESS LICENSE TERMS form a binding contractual agreement ("Agreement") between Feed Filter, LLC, a Texas limited liability company ("Feed Filter"), and each subscriber ("you" or "User") desiring to purchase a license to use Feed Filter's Services. This Agreement is effective as of the first date on which User agrees to these terms and purchases Feed Filter's Services.
Feed Filter provides a software application browser extension and/or other form of software application known as "Feed Filter" (the "App") and services related to the use of the App, all as described on the Feed Filter website (the "Site"), as amended from time to time at Feed Filter's sole discretion (the App, Site, all associated websites and software, and other Feed Filter services, are collectively referred to herein as the "Services").
User wishes to obtain from Feed Filter, and Feed Filter agrees to deliver to User the Feed Filter Services, all in accordance with the terms and conditions of this Agreement. By downloading, installing and/or using the App, User agrees to the provisions of this Agreement, as amended from time to time by Feed Filter.
1. Definitions
1.1 Proprietary Rights
"Proprietary Rights" shall mean any and all patents, inventions, copyrights, trademarks, mask works, trade secrets, proprietary information or any other intellectual property rights in any country of the world or contract rights having the equivalent effect.
1.2 Proprietary Information
"Proprietary Information" shall include, but not be limited to, either Party's data, database, product plans, designs, protocols, products, costs, prices, names, finances, marketing plans, business opportunities, personnel, and research and development originated by the disclosing Party. All information regarding the terms of this Agreement shall be deemed "Proprietary Information." "Proprietary Information" shall not include information that (i) is or enters the public domain through no fault of the receiving Party; (ii) is known and has been reduced to tangible form by the receiving Party prior to the time of disclosure; (iii) is independently developed by the receiving Party; (iv) is lawfully obtained by a third Party; (v) is compelled by a court or required by law; or (vi) is made generally available by the disclosing Party without restriction.
2. Feed Filter's Obligations
2.1 Grant of License
Feed Filter hereby grants to the User a limited, non-exclusive, non-transferable, non-assignable license to use Feed Filter Services for User's personal, non-commercial use only subject to the provisions of this Agreement as well as the payment of all applicable license fees.
2.2 Support
Feed Filter shall provide support to User by email for non-critical problem resolution. Feed Filter shall use reasonable efforts to respond within 24 working hours.
2.3 Suspension or Termination
Feed Filter reserves the right to immediately suspend or terminate the provision of Services to the User as reasonably necessary to protect Feed Filter's interests (confirmed breach or illegal activity). Termination shall not relieve User of its obligation to pay all fees owed.
2.4 Modification of Services
The information and materials contained on the App are subject to change. Feed Filter will provide reasonable notice of any material changes.
2.5 Browser Extension Operation
User acknowledges that the App operates as a browser extension and may modify, block, intercept, or reroute certain network requests. User authorizes such technical operation.
2.6 Third-Party Services and Dependencies
The Services rely on third-party technologies including OpenAI, Google Cloud, AWS, Vercel, Cloudflare, and browser platforms. User agrees that Feed Filter is not responsible for outages, changes, or failures of those third-party services.
3. User's Obligations
3.1 Restrictions
User agrees not to reproduce, duplicate, copy, sell, rent, resell or exploit the Services for commercial purposes. User agrees not to modify the App or access it by means other than the provided interface. By using the Services you agree that you will not:
- Use the Services for any illegal or improper purpose
- Upload content that is false, misleading, unlawful, obscene, harmful, threatening, or defamatory
- Upload content that infringes intellectual property rights of any third party
- Impersonate others or create fictitious businesses
- Gather information to transmit unsolicited advertising or spam
- Interfere with or disrupt the Services or connected servers/networks
- Use bots, scripts, automated tools, or scrapers without authorization
- Resell, sublicense, or commercially exploit the Services
- Circumvent usage limits, authentication, or payment systems
- Engage in excessive usage that imposes unreasonable load
3.2 Representations
User shall not make representations about the Services beyond those made by Feed Filter in writing.
3.3 Responsibility for Content
User is responsible for all content data input by User. User agrees to indemnify Feed Filter from any claims arising from such content.
4. Operation and Availability
4.1 Activation and Use
Upon acceptance of this Agreement, User may download and activate the App in any supported browser. The App operates locally and connects to cloud-based Services.
4.2 Filtering Functionality
The App applies User-selected filtering settings to social media platforms. Results may vary depending on platform, browser, device, and third-party changes.
4.3 Cloud Services; Availability
Feed Filter will use commercially reasonable efforts to make cloud-based components available, excluding scheduled maintenance, emergent maintenance, or downtime caused by third parties.
4.4 No Guarantee of Third-Party Compatibility
Feed Filter does not guarantee uninterrupted compatibility with any third-party platform and shall not be liable for breakage, reduced functionality, or enforcement actions imposed by such platforms.
4.5 Updates
The App may automatically download and install updates without separate notice. User shall not block or interfere with updates. Continued use constitutes acceptance of updates.
4.6 User Equipment
User is responsible for maintaining compatible devices, browsers, and internet connectivity.
5. Pricing and Payment
User agrees to pay the charges listed on the Site. Subscription Fees are billed in advance and are non-refundable except as stated. Failure to pay may result in restriction or cessation of access. User bears all applicable taxes.
6. Warranties
6.1 User Warranties
User represents it has authority to execute this Agreement and that Feed Filter's use of User-provided data does not infringe third-party rights.
6.2 Feed Filter Warranties
Feed Filter represents it is duly organized and has authority to execute this Agreement.
EXCEPT AS EXPRESSLY SET FORTH, ALL SOFTWARE AND SERVICES ARE PROVIDED "AS IS." FEED FILTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FEED FILTER MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
6.3 AI-Generated Output
User agrees that portions of the Services utilize AI that may produce inaccurate results. No human review is performed. User is solely responsible for evaluating AI-generated output.
7. Limitation of Liability
Feed Filter shall not be responsible for delays, errors, or failures caused by conditions beyond reasonable control including acts of God, strikes, war, fire, or natural disaster.
IN NO EVENT WILL FEED FILTER BE LIABLE FOR ANY LOSS OF PRODUCTION, BUSINESS, REVENUE, PROFIT, DATA, OR FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES. THE COLLECTIVE AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEE PAID FOR SERVICES IN THE MOST RECENT SIX MONTHS.
Feed Filter is not responsible for breakage, restrictions, or enforcement actions resulting from third-party platform changes.
8. Confidentiality
Each Party agrees to keep confidential the other Party's Proprietary Information for two years from receipt. User acknowledges the App contains Feed Filter's Proprietary Information protected by applicable laws. With prior approval, Feed Filter may identify User as a customer in marketing materials.
9. Term and Termination
This Agreement continues for the selected term and renews unless terminated with 30 days notice. Either Party may terminate for material breach with 30 days notice and opportunity to cure. Feed Filter may terminate immediately for abuse, automated misuse, or harmful activity. Upon termination, User shall discontinue use and Feed Filter shall delete stored User data subject to legal requirements.
10. Notification
Notices to Feed Filter: help@feedfilter.com. Notices to User: the email provided at registration.
11. Relationship of Parties
Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture.
12. Governing Law and Disputes
This Agreement is governed by Texas law. Disputes shall be resolved by federal or state courts in Dallas County, Texas.
13. Compliance with Laws
Each Party agrees to comply with all applicable laws. User consents to data transfers as described in the Privacy Policy and agrees to comply with applicable data-protection laws including GDPR.
14. Assignment
Neither Party may assign this Agreement without written consent, except to a parent, successor, or affiliate upon notice.
15. Construction
If any provision is unenforceable, it will be enforced to the maximum extent permissible. Failure to enforce any provision is not a waiver.
16. Entirety
This Agreement constitutes the entire agreement and supersedes all prior communications. User's use is also subject to the Privacy Policy. Changes are binding 14 days after posting (immediately for new users).
